I'm incorporating as a LLC with 2 other people, making software applications for mobile phones (software to be sold online).

We're wondering what state to incorporate in given that we live in 3 different states (CA, NJ, NY). Work is being performed in each state, but the business operates virtually. Any advice as to where we should or legally have to incorporate? Would Nevada or Delaware be advantageous/viable options for a small internet startup?

Are there specific requirements for living/working in one state but incorporating in another that we need to be aware of?
