Removing an LLC Partner

I need to remove one of my partners from my clothing business. We are a company in Pennsylvania and are filed as an LLC. They Partner wants out and there will still be two original members who filed the LLC. Is it just a matter of filing with the state again or do we need to have him sign a form saying he removed himself?

How to handle this should be in your Company Agreement you entered into when you formed the LLC. That is the way we did it on our Texas LLC.

Not sure of the exact procedure for a member of an LLC withdrawing. I would recommend speaking with an attorney, however, as you don't want to find out later on that you screwed yourself doing it wrong.

Always have an attorney look over these things. You don't want a lawsuit from your old partner years down the road when you're hugely successful.
