Looking for sample Offering Memorandum/Offering Agreement

My business is within the apparel industry and I am trying to find a sample, cookie cutter offering memorandum or offering agreement I can go off of. I will of course also have an attorney review and add to it, but I would like to at least get the basics down to save attorney fees. Looking to raise about $350,000.

There are numerous sources online if you do a google search. It's better to get something new with all the boilerplate state disclosures as they change all the time.

I would suggest that for such a small amount you do the offering withing your home state. Also, dont forget to blue sky the offering there and ONLY deal with accredited investors.
