    LLC in New York as a minor

    Hey all,

    I'm attempting to create a Limited Liability Corporation (with a friend/co-partner... splitting equity 50/50). We're both under 18 (16 and 17) thus legally we are minors and cannot enter any contractual agreements and other fun stuff like that. Yuck.

    Being a Young Entrepreneur forum, I figured this is the best venue to ask: How do I easily navigate through these murky waters? I'm aware that I can have a parent file, however are we permitted to be a legal partner in the company? Is there some sort of clause in NY law (I doubt it, I've read the LLC law several times) that permits minors to file?

    My parents are very keen on me conducting business the legal way, so I'm making every approach to properly file the forms.

    Other than this, I already know all the forms that I need to file -- Articles of Organization, Certificate of Publication (oh - do I need an Assumed Name Certificate or is that covered in the Articles of Organization? The NY website isn't clear) so it's really only this matter that has me concerned (Taxes too, but it can't be too hard, I'll be taxed as a partnership).

    From what I have been told, have your parent in the LLC. I forget which title they need to be under.

    This way when you sign any contracts or paperwork you are signing under as the business, not yourself. So the contract is good.

    Sorry, I am not more detailed on this.

    It appears to me that, whatever you do - you are well on your way to success. Just keep the bubble between the lines the whole time. And, most importantly - listen to your parents (at any age). And hold on to truths and gut instincts as though your heart had teeth. No esoteric advice from me. Keep on!
