My home state is RI
Thank you ahead of time...
Myself, along with three individuals have been working on an internet fitness social network for some time now. We are moving fast and are in need of an LLC due to costs being incurred, some new liabilities with people using our social network, and we are deciding on equity splits now.
We are in between Delaware and New Hampshire to register. I have done a ton of research on the pros and cons of each state, but just need clarification with the stipulations on registering an internet company.
We may be doing business in RI, our home state (we plan to partner with neighboring nutrition shops), but much of our service is in the cloud. If we were to register an LLC in say Delaware, would we have to pay taxes in RI if we do some business here? We plan to span several states too. Being an internet company makes it confusing to us how it would be handled. (we are just developers!).
Also, since we are opening a bank account in RI under the business name, is that fine that the LLC will be registered out of state, or do we have to pay to register something in RI as well? We don't register as a foreign LLC, correct?
