I've heard that Delaware can be a very advantageous place to get one's LLC because they have great legal precedents there and low cost of incorporation.
This particular LLC will act only as a parent to other subsidiaries.
Will anything about doing this in Delaware prove to be a pain in the ass for someone from out-of-state? Will I ever have to physically go there to do anything?
Also, from the standpoint of limiting liability and debt recourse, does it make more sense to have an LLC, an S-corp, or a C-corp be the parent entity?
I've heard that there are certain advantages to an S-corp owning an LLC which then owns everything else, but I'm not sure what those advantages are. I just learned that from a Crowe Chizek seminar and now don't remember the details.
