    Alloted shares in the state of Florida

    I am new here, so this may have been discussed at some point, but I just thought I'd ask instead of doing too much research to end up not finding what I need.

    I'm hoping someone can help me figure out either how to find or what is the number of shares the state of Florida allows? I spoke to a gentleman who used to be an Angel Investor and now owns his own company in TN (I believe) and he said when he started his company the state of TN only 200 shares and beyond that he would have to pay per share. I don't want to have to do that so if I know in advance what the number of shares in Florida are I will know what each one will be worth when speaking to an investor knowing how much funding I need. So if anyone can either tell me if they know, or guide me in the right direction I would greatly appreciate it.

    But why would you want to incorporate in the state where you'd have to pay corporate income tax? Why not incorporate in Delaware, and only select the maximum number of shares, 1,500, and you don't have to pay any additional fees, or corporate income tax.

    I don't know about the accuracy of the info above. However, the number of shares isn't that important unless you're dealing with an extremely large number of investors. It comes down to ownership interest.
