I used to have a partner and we developed the name VIP Access for our business. However, I designed the entire site, the logo, setup the initial structure of the company and my partner relatively did nothing until he saw that I established some financial ties with some of my own relationships and now wants to hang onto the trademark. I registered my company as VIP Access Elite LLC instead of the previous VIP Access LLC. I also trademarked all of my logos and attached them to the VIP Access Elite LLC. He has since copied my site; an older version, and uploaded it under VIP Access Entertainment: Exclusive Upscale Events. If you go to www.vipaccesselite.com; you will see very little difference at first but on my site, you will see the additional pages, events, etc.

Do I have a lawsuit against him for using my marks, uploading a site that he did not do, and fraudulently representing himself as my company?

How do I close him down and maybe even acquiring the domain name as well?

Please give me some insight as I am in the process of filing a suit, sending in a complaint to his ISP and sending a trademark violation to the State and to iCANN.
