    need advice on starting multi-national, multi-state software company

    I can't seem to find much legal stuff on starting a multi-national in standard textbooks or websites. So, I'm hoping someone here can elaborate or point me to the right direction. Here's my case.

    I'm planning to start a software company, LLC. Register in Michigan and have a partner in Texas.

    In our first year, we'll hire contracted programmers from Vietnam, but as the company achieves key milestones, we'd hire the programmers as full-time employees. Our clients will be in U.S.

    My question is - are there any special legal restrictions, IRS taxing form/procedure, or other legal aspects that we need to deal with that are different than what it would be had I hired programmers in U.S. and do business in U.S.

    Any note or hint from experience is also welcomed.
