    HELP: ? For All

    Alright, folks, I need your help.

    I am considering writing a comprehensive, research-based handbook on the legal aspects for an entrepreneur to consider when starting a business.

    I have two questions for you all:

    1. Is this something that you would find useful?

    2. Which issues would you find helpful or like to be addressed? For example, business entity selection (C Corp. v. S Corp. v. LLC v. Partnership, etc.), intellectual property (copyrights, patents, and trademarks), contract formation, etc.

    Theres been an e-book released on avoiding tax and etc. for corporations through loop holes. I can't remember the url but it was VERY popular. Perhaps some content to consider when writing your book.

    Thanks. That is one issue that I will be addressing, such as what types of expenses can be deducted as business expenses. However, I'm going to cover any and all subjects that could be helpful to an entrepreneur or small business owner (even for part-time eBay sellers). I don't intend to sell this, rather just begin to educate readers.

    Any and all advice and suggestions would be greatly appreciated. I'm looking for anything that you, as an entrepreneur, would find useful or like to know more about in a free handbook.

    It would certainly be useful and there are a huge range of topics from entity choice to IP. However, just be very careful to note that the information in the book is not to be construed as "legal advice". I would hate to see someone come back and try to sue you b/c they followed your "advice" and something went sour. But I think i recall you mentioning that you are in law school so I am sure you will be careful.

    I just received a book on IP law for businesses and business lawyers. It is a very good comprehensive overview of patents, trademarks and copyrights. I envision your book being similar but covering more topics in less detail (or else the book would be huge)...

    Overall, i think its a great idea and if you ever want to bounce ideas around, let me know. Currently I am a litigation attorney but I have been getting more involved in the corporate side.

    Thanks for the advice. Aside from having someone sue me, it's illegal to offer legal advice without having a license. As I always do, I will make sure that it is explicitly made clear that it is not to be construed as legal advice, but only serve as a basis for further consideration and research. I appreciate the suggestion and am still very open to hearing what subjects everyone would find helpful to learn about.

    yeah, I figured you would be careful but I thought I would just mention it. Helpful topics for entrepreneurs:
    1. Choice of Entity
    2. IP Protection
    3. Employment Issues (i.e. employment contracts, non-compete, non-solicitation and confidentiality provisions)
    4. Licensing
    5. Drafting of Contracts (general oveview)

    Obviously there are a lot more considerations as a business grows, but I think those are the basics to get an entrepreneur started.
