Forming LLC, Internet Company, Register with State?

Hello,

I am interested in forming an LLC in Delaware. The LLC will sell software over the internet. Do I need to register my business with the state in which I reside?

Thanks.

I don't think you have to, but if you were to register in, say, Maryland, you would need an address there.

Hi IMME-

Please refer to my responses in this thread.

Registered Agents

It regards processing agents but I think this may help you a bit.

Please PM me if you want to talk via email or other method (Skype, etc).

Thanks,

Guy

To be on the safe side I would. It is really easy and can be done in a matter of minutes. It is much safer than going as a sole or a 1099 because of the liability issues.

No, you just need to incorperate with that state.

You don't need to fill out any papers for your home state. Just the state you want to incorporate your business in.

So to put it simple the answer is no. You don't .

You just need to regsiter a business somewhere in the U.S

FOLLOW the RULES of that state and the federal law of the U.S

just to warn you that you will pay a high fransise tax in Delaware

take a look here: Franchise tax - Wikipedia, the free encyclopedia

that will explain what a franchise tax is.

Good Luck..

Hi Imme,

What type of business are you trying to start? You can register your business entity in any state, you just need to have a physical address there, and therefore would need a "registered agent" to do so.
If you have any questions, please PM me.

Good luck
