    There are several ways to do this. No offense, but you won't be able to affect this (with any sort of solidity) in fifteen minutes.

    You are getting into the field of Mergers & Acquisitions, and there are many ways to do what you are wanting to do. Some are termed "tax-free reorganizations" or "statutory mergers". Others are not true mergers, and involve modification of the existing company's charter to affect ownership changes. This can be a very complex area, and suffice it to say, you absolutely do not want to do this on faith, nor with anything you download from the internet, nor even from a general practice attorney.

    If you are risking this much money, get a true business attorney and do it right; otherwise, like I tell everyone else, you will pay for it down the road (perhaps in multiples).
