I don't think a written contract would be needed, this would be a link exchange, or banner exchange. Just as long as you keep an update of their site, and where your ad is on their site, you should be fine.

Contract for free advertising is a little over the top.

All you really need to do is run a reciprocal link checker. There are a thousand scripts that will do this. They are free and if you have any kind of script installation experience, they take about 10 minuutes to set up. Then you could do this with an unlimited number of sites and pick and choose which relationships are most symbiotic

The favorite example to reference a question like this is NetZero. When they started the selling was that it was free. Then it was 9.95, then 19.95. So I would say absolutely do it for now. Once you have constant traffic, offer them a great deal for being with you since the begining or something.

In my opinion it is crucial that both companies are suited to each other. You can't just jump on any cross-promo that comes your way. Make sure the other company represents your company well.

From a marketing standpoint will this cross promotion achieve the objective?

When it's suitable I think offering a service for a service is affordable and it allows you to develop a partnership not competition.

I think this is a great thing to do because if for nothing else you are keeping cash on the books and in the company but getting marketing and exposure.

However, do entertain Carla's thoughts and understand what that company is about so as to not taint your name or reputation due to their ill image to others. Also, listen to Jmenq and get it in writing...you will be much happier you did if anything falls through or they change anything around on you.
