Internet Partnership HELP

I am partnering with an overseas person on a business idea that revolves around the internet. The idea is basically providing a service through a website and does not include selling anything. (Sorry for the vague description but cannot disclose idea coz you know...)

Anyways, we are discussing partnership legal issues and I have no idea where to start. Could someone please help me with issues such as:

What kind of partnership should we form
How do we legalise it because we are both living in different continents
Taxes, etc.


More detailed explanations preferred coz this is my first business venture and dont have any background in legal issues or business.

Also, I'm not sure if this is an issue but we are both in uni

This seems like a fairly complex legal issue. This is definitly a situation where an attorney would come in handy.

If you can't afford an attorney, find the money.

I am going to have to agree with him here. This can get really complex really quickly. Because of you both being in different countries, the legal issues will vary greatly. What might be a contract and hold up in your country may not be considered worthy in his. You would run into a lot of problems if you ever had to go to court or take legal action against your partner because of the differences in law throughout different countries.

With this, you should definitly find an attorney that can help you. If you have a small business center or place that gives information out for free on different business start up topics, that may be a good place to start. Maybe somewhere in your country comparable to the Small Business Administration that we have in the US, www.sba.gov. You might even be able to get some help from their website.

So try and do some research about the different type of business entities in each of your countries and maybe that will help you figure out what would be the best way to incorporate.
