I've been doing some research for a new business venture I am about to embark upon. Previous I have run a business in my home country (UK) and I am now looking to start a similar enterprises in the US. However I'm a little confused over a couple of things.
The business I am looking to set up is a web design agency. I'm looking to target the entire US eventually, but will probably be starting in FL as I have some people ready to start working for me straight away.
My first thought was to set up an LLC in FL, but I've since been thinking that DE may be a better location. As this business will be serving US companies I feel it is important to have an US business, US bank account and US presence.
I'm unsure as to the process of creating an LLC, and any legal requirements that may need to be met. I'm also a little unsure of the process for opening a bank account.
I do not have a physical presence in DE so I believe I would need a registered agent and "virtual office" facility there. This would allow me to run the business remotely from the UK. The people working for the business could be in various states, especially those selling the services. Would the business have to register in each state that I have someone employed in if they worked from home? and how would it work if I were to open an office? Would this have any effect on sales tax?
Also, I've been told about "business licenses" I'm unsure as to what this means exactly. From what I understand, unless I am operating within a "supervised" industry such as law there aren;t any licenses required, however the term license often refers to registering your llc doing business in the state - so that you can pay taxes etc.
I would appreciate any thoughts or feedback anyone may have on this situation. I know this is a vague question, but I'm trying to gain a fuller understanding of how things work stateside.
