    Thumbs up spring break kick off concert needs investment partner

    Hey YE's. this is my 1st post on this site so hello gang. I am currently organizing and promoting a concert in the DFW area featuring 2 top hip hop acts and a grammy winning producer/artist that is a local. I have just recently acquired the contract for this. Investment partner needed. I have a 1st right of refusal investor partner lined up that has stated they are in but as we all know... the deal isn't done until the check clears the bank. So i am courting other/additional resources. The event capacity is 12k and the concert will be streamed live hosted by a myspace; you tube; blackplanet or other similar demographic site. We are taking bids now. A unique interactive texting application will be used for this event as another revenue stream. The investment amount is up to 325k. i am perfectly ok with doing draw out investments; as the total amount probably will not be needed as sponsor funds are secured throughout the process that will assist in cash flowing a lot of the expenses. 1st position and promotion opportunities for your wares are available and we are talking about a minimum guaranteed 165% ROI with bonus potential.     A little about me... I have been an entrepreneur since my mid 20's i am in my early 30's now. I have successfully capitalized on 3 decent size orgs that I've formed and grown. My latest is in the process of being purchased now. Rock Hard is my new baby! This will be our 1st major concert although we have done very large after parties for A-lister's concerts. All good entre's know this but I'll say it anyway... I have surrounded myself with seasoned vets in the industry to teach me the ins-and-outs of the landscape and execution. OK I'm off the soap box!     Make sure you protect yourself from federal and state securities law violations, as well as securities fraud allegations by using a Private Placement Memorandum.

    Under the Securities Act of 1933, any offer to sell securities must either be registered with the SEC or meet an exemption. Regulation D (or Reg D) contains three rules providing exemptions from the registration requirements. Reg D are for the benefit of small companies seeking to raise capital from accredited investors.

    There are also state laws to consider. Since you are seeking an investor you are by default issuing securities.

    A Private Placement Memorandum, or PPM, is a way to communicate what your company is about and a summary of terms for the security you are offering. By using a PPM you are providing prospective investors/partners with a consistent communication of your offering, thus providing yourself with cover from potential securities fraud claims.

    The other benefits from having a PPM is 1) you intentionally think through what you are looking for; and 2) you present a professional face to your fund raising efforts.
