How many shares do you plan on offering? What type of financial results are you expecting for the next year? What is your time frame for profitability?

Tacking the following into consideration:

If I get 1 Million dollars:

1 National data base = 1 year
2 Sales there are 22,000 restaurants just in IL, if I get 10% of them to sign up that is 2200. at 200 which is what they oay me now that is revenues of
$440,000 per month or $5.2 Million per year: Or 400% return on investment...........

Curently we have 75 Paying cleints I plan to be at 2200 with in 5 years of geting the $1,000,000.00

Exist strategy to be either sold or go public

Traffic curently at 1000 chicagoans per day.....

4% of the people that come 1 return
70 people per day going to YLunch.com directly with 0 spent on advertising

I am offering shares at 2.00 per share...........No one can but more then 250 shares per investor

We are just seting up as a corp instead of Scorp........

This should be pretty simple to answer...

What does a client recieve for the $200/month? It seems like your site is no more than a directory, at least on its face. Maybe I am missing something. Can you explain...?

You're going to need to show possible investors traffic stats as well, since you could very well have customers, but the visitors are what makes the site tick.

If you can't show traffic increases over an extended period of time, then there's no way of telling if your marketing strategy is up to scratch for an investor to be putting their money in.

So how much money do you hope to raise? What do you plan on doing with all of the money raised? How many shares do insiders hold? There are a lot of questions that need answering.

1. What does the user get:

Please go to google and type in the following quireies:

Pizza WHeeling IL
Steakhouse Rosemont
Las Palmas Mundelein
Mexican food mundelein
Pizza Delivery wheeling
Mexican food schaumburg

2. They get fully optimised Ylisting page, along with meneues, cupons etc...go to Ylistings and see all the restaurants that are there

3. stats: I get about 1000 visitors per day in the chicago Are 5% are directly going to YLunch.com with no advertising........I have all the stats to back it up and can go over them on hte phone

4. I get VERY direct traffic per suburb

5. Investment I need $1,000,000.00
I plan on using it in the following manner:

Building a national database
Hiring a sales force
Having 13 YLunch.com bugs driving around
Hiring desighners, developers
Renting an office (As of now the espense are at $790,000 per year, as a GOOD ceo I WILL NOT go over budget

6. I am hoping to raise 10,000,000.00 put in the bank and run the company from intrest

7. Traffic increase this is proven I can show data.to potential investors

8. So how much money do you hope to raise? What do you plan on doing with all of the money raised? How many shares do insiders hold? There are a lot of questions that need answering. ....................I dont know yet we are just begining to go from S Corp to Corportation I will have those details when the time comes closer.

I dont know that I see the need for the 13 Ylunch.com bugs, I believe money could be spent more effectively on advertising, then again its not my company so I'm not in much of a position to decide this. As a prospective investor, it is important to know the ownership structure. While I think the idea has some promise and believe your group has a good chance of being successful, currently it looks like the maximum investment would only give me ownership of 0.05% of the company at the most (considering you hope to raise $1,000,000 with $500 being the maximum investment). I would also have to think that you and your executive board would be granted a decent amount of shares in your company. I know that I have posed a lot of questions, but I feel they are details neccessary to know if I am to invest in your company.

13 YLunch.com bugs = advertising they would have YLunch.com all over them, they would be driven around like the Pea pod cars. (Company cars)

We are curently working on the Corporation structure, as soon as I have all the details they will be posted.

Now the $500.00 is for round one only people who pass on round 1, will not get another chance till round 3.

You are correct the executive board will have plenty of shares

As soon as I have more details I will let them be known.........as of now I can only answer questions about the business it self.

I understand that the Ylunch.com bugs are for advertisement purposes, but I believe that the money that is going to be spent advertising in this manner, could be better spent on another form of advertising. To a prospective investor, it looks like you guys are spending investors money, probably over $200,000 worth, on new cars for yourselves, and masking this fact by saying it is advertising.
