www.PeoplePawn.com asking..Series A vs' Reg D Finance!

I've spent the last 18 months developing my business and financial model pre-revenue. All of the financial, marketing, public relations and human resource strategies are in place pre-revenue. I'm now in a position where I can begin raising the initial capital to execute the business plan. I have a world class legal team completing the documentation for an Accredited Investor (Angel) Series A Preferred equity round. I was approached by an alternative business financier last week informining me of a Regulation D listing for initial financing!
Has anyone had experience in a Regulation D transaction for funding. I've already completed three presentations over the last week to accredited investors, and have over $150K soft circled. Our plan is posted on www.raisecapital.com as well as www.planheaven.com. I would hate to change lanes mid stream for financing. Experience or educated comments vis Reg D transactions would be appreciated. Thank you in advance. Patrick
