Post Teen Entrepreneur looking for biz partner and/or venture capitalist

Hello,

I am 17 years old and will be starting an S corporation called "Eustis Entertainment" (visit www.eustisentertainment.com). I will be selling brand new DVDs in an eBay Store and eventually a website. After a while the company will move into music and books.

I have a business plan written out right now with revenue projections, trade connections, etc. and looking for one or both of the following:

A business partner - Has to have experience in movie, music, or book online retail.

A venture capitalist/angel investor - Providing funding up to $20,000 for start-up costs.


I project a start-up cost of about $20,000 for computer hardware and software, online auction managment software, auction listing fees, and possibly a small initial inventory. Competition on eBay is mainly between a few large sellers (Glacier Bay DVD, Lasercorner DVD, etc.) which sell the maximum amount of DVDs on the market today (approx. 37,000-40,000) which I have access through because of connections with major distributors.

Hello,
I'm a teen aswell, 16. and I"m into ecommerce aswell. I think you should plan your business and start wtih an online store, like mine (www.purefiveaudio.com) and use a dropshipper. I would suggest doing eBay selling on teh side by looking for hot DVD deals and purchasing them from wholesalers and than sellhing those on eBay. As your business expands, you could than slowly move to real inventory from using a dropshipper.

I'm a he (the name can be confusing). I just don't see how an LLC can be better than an S corp.

oops, sorry.

But the llc avoids alot of tax laws the S has, like passs thrugh taxing. It also is a hybrid between a corporation and a partnership which makes it a big advantage over other entities. The LLC's flexibility makes it a big advantage over other types aswell.

I woudl look around again and check out www.legalzoom.com and see their law library for some good info.

Also the fees are lower, you can have the same person as the chairman, CEO, and President, and you can go public anytime.

No, S corps you can have one person start the company and be all positions, but with LLCs there usually has to be two people starting the company (as it relates to partnerships). I am starting it by myself so I don't want something that involves 2 or more people.

S corps also have pass through taxation as it is counted like a sole proprietorship. The only extra taxes are the yearly Franchise tax. Also, corporations can go public anytime (you just change back from an S corp to the original C corporation).
