Regulation D
Now I'm not an idiot, but I'm not a genius either. Trying to read through the SEC's criteria on 'Regulation D' (504-506) is twisting my head in knots. Can someone explain to me in plain english how small business owners use this as a finacning vehichle and what, if any, advantages it contains in which situations?

Pretaining to Regulation D
Actually I just finished reading about Rule 506 being used as an investment vehicle. Have you read 'Retire Young Retire Rich' by Robert Kiyosaki? Page 127 talks about it. Investing in shares of a company when the company is still a private company I believe.

It is a great help to small business owners I am in the same situation and it helps by placing your offering in the market for investors to see how they can fit in your situation. Also lets them know how they will get there return on there investment.
