    Looking to expand

    i have a question to everyone here who has found what they are looking for on this site. ive been here for about a year now and talked and posted somethings that i might be interested in and have did not get anywhere with the people here. It seems like people are afraid to help out someone that is hard working and looking to expand into the industry which they are already in and know well. i just wanna know if any one has found this site helpful?

    Hi Triple J...I am fairly new to the site, so I'm not sure of its effectiveness yet. I hope it turns out to be worthwhile!

    As for your business, what are you looking for exactly? Investors, businesses to acquire, business consulting for growth?

    Update!!

    We currently have half of the financing needed for the purchase of this company and we are still seeking the other half. The compnay has 10 semi tractor trailers, 4 straight trucks and a cargo van. We have work for this company as soon as we take ownership. The work comes out of Michigan and Illinois. We are well on our way to make this great. As stated before we still need the other half of the funds which is right around 250k. We are also very expirenced in the trucking field as we have over 25 years expirence. Thanks

    Hi EBITDA we are looking more towards debt financing from a private investor. We just feel that it would be best for our compnay and ourselves to do it that way. Also we talked it over with our financial advisor and he said that would be the best bet. But if the deals are good enough we will look at other options as well.

    Triple J - while debt is cheaper than equity, there are other considerations.

    * how much leverage you have in the business currently
    * an intercreditor agreement with your bank, if there is one
    * some inflexibility in that you can't miss an interest payment

    I think your best bet for raising ~$250k is to tap your accountant's and/or attorney's network. Also see if there is an Angle Investor group in your area - typically made up of high net worth individuals that are seeking private investment opportunities. Traditionally these groups have migrated to early stage tech deals, but you'll find investors with a variety of risk profiles.

    Whichever route you go, make sure you know what you're asking for - have a term sheet prepared. Don't expect a prospective investor try to figure out what the right deal is - you define the structure and terms. Also (and this is self-serving), make sure you have a private placement memorandum, since you are issuing securities - notes are as much securities as common or preferred shares are. Non-public securities falls under SEC Reg-D - unregistered securities.

    Using a private placement memorandum will not only keep you in compliance with state and federal securities laws (yes, even for deals as small as $50k); give you some measure of protection from securities fraud suits (only usually happen if your investors lose their money, but that rarely happens ); positions you professionally with prospective investors; and will eliminate the risk of investors exercising their right of rescission (where they ask for their money back because of lack of proper notifications).

    The money is out there, but ironically, my experience has been that raising smaller amounts is more difficult than raising larger sums - $250k is a small amount. So talk to your accountant and attorney. Also talk to your vendors or customers - you never know...
