Company’s Business: To develop, produce, market and sell Light emitting diode (“LED”) street lamps and for such other uses that such products may be used.



Background: Presently, almost all street lighting are conventional (not LED’s), which means the following: the “life” of such bulbs is no greater, but probably less than 5 years; higher cost of electricity; light not focused on street; and significantly higher cost to maintain. On the other hand, LED street lamps have: longer life, some as much as 20 years; lower cost of electricity; lower wattage for about same light; light directed at or about street area, not as much out to “space”; little or no maintenance; significant cost saving over the “life” of LED light than current sources. The Company believes that the LED street lamps the Company will produce will be better than others on the market now, because of AC current, less likely to have a major blowout and light will be focused.

Market: The market potential is unlimited, since it comprises almost every street light in the world. The Company believes it can meet the standards for LED’s recommended in most, if not all, the areas in the world.

Company Factors: The Company is in the formative and developmental stage. It is in the process of using outside contractors to develop, construct and erect prototypes that may be used as a complete electrical lighting fixture for the LED street lamps.


Use of Proceeds: In the beginning, the Company’s primary aim is to develop and build prototypes of LED street lamps. It is believed that about $150,000 is needed for such purpose. The Company is also seeking funds from other sources, such as grants. No assurance can be given that the Company will be successful in such endeavor. Thereafter funds will be needed for operations, administrative, costs, salaries and other such items. The Company estimates such amounts to be about $1,000,000 for this purpose. In addition, the Company will need to finance the manufacturing, selling costs and financing of sales, which the Company believes will be $1,000,000. The Company may be able to use traditional financing, such as banks, depending on the Company’s credit rating.
