    Making decisions official

    I'm starting a new LLC.

    I understand that as the registered agent of my business I have final decision making ability. However, let's say I make decisions (for example, approve the initial business plan), or decision to authorize other employees to making decisions for the business. How do I make my decisions in my LLC official? Do I write these down, sign them and file them? Where do I file them, with my lawyer? If I want to leave my business to my children, how do I make sure this is possible and happens?

    In other words, the decisions that I make, I want them to be official beyond just thoughts that I have spinning around my head.

    ...in an llc with one member your decisions are automatically "official"
    unlike a c-corp, there's no requirement a quorum, minutes, member resolutions etc..as far as i know, without double checking
    i don't understan what you mean by "official"..do you mean "valid" in terms of corporate law?

    ..the passing to children thing..i.e. succession planning, is an entirely different issue. what exactly are you interested in?

    Well as the company director, whatever you say becomes official. What you can do is document everything, have a place where any decision taken is entered properly. Regarding business going to your children, I think you need a succession plan for which you need to talk to your lawyer.
