    LLC Formation

    Hey guys,

    Akula, you gave me some advice with convertible bonds a while back. We have been thinking and have decided to take the LLC route because of less complexity. Our company is headquartered in California, but we are going to be filing for an LLC in Nevada, do to less restrictions and regulations.

    What I am doing right now, is researching as much as I can on LLC formation. I was wondering if anybody that is LLC savvy can enlighten me on a possible way to sell issue "convertible" bonds within an LLC, due to their not being any stock per say, but instead membership shares. And how would I possibly go about doing that.

    Yes, there is no problem forming an LLC in the state of Nevada as a California resident and it provides you the corporate veil too. But, the question is whether you are ready to maintain two sates California and Nevada? Because If you are physically located in the state of California and conducting business in Nevada then you are required to register your company in Nevada and will create a foreign entity in the state of CA.
