I'm currently working with a group as a guide for starting up their nonprofit organization. However, one person (one of the potential founders) doesn't trust the other individuals and wants there to be a nondisclosure and confidentiality agreement.
The questions I have are:
- Will a NDA/Confidentiality agreement be effective for verbal exchange of ideas between natural individuals who have not yet incorporated as a legal entity?
- Will a NDA/Confidentiality agreement be effective for a nonprofit start-up since the non-profit is in the domain of the public?
- How can an individual claim any damages of any "protected" ideas (written or verbal) covered by the NDA/confidentiality agreement if the individual is sharing such information knowing that they are not going to profit from it?
Any input would be greatly appreciated!
