As in the cost of the actual certificates? Cost to draw up a purchase agreement? Guess I'm not following. Costs me about $1.50 for the cert and mailing.

Set up what a private placement? Reg.D, A? How may states? Are you going to be advertising? Employing finders? Are you going to be registering the offering or are you just taking on a few people?
Go for information overload in your response.
I'm most familiar with Reg. Ds. A PPM runs $5000-$7500 and ~$300-500 on average per state for blue sky.

I'm not making a recommendation one way or the other, but a place like Regulation D Resources - Capitalize Your Vision will write a memorandum for you.
Familiarize yourself with SEC rules 501-506 of regulation D.

Even if you have a firm write your memorandum you should, at minimum, get an opinion from a securities attorney.
Just a couple generalizations to keep you safe:
- Only sell through employees, no finders. No commish. Their job has to last after the offering.
- Only deal with accredited investors, no matter what.
- Provide full disclosure even if you are not required to do so.
- verify everything via your sub docs and have everyone complete a suitability questionaire.
Again, very general but it's where most I've seen go wrong.
