    2 quick questions!!

    Hi All,

    Question one is: I live in a different state (actually different time zone) from my business partner. How do we incorporate? Do we have to chose a location, meaning, either his state or mine, or can we incorporate federally somehow?

    Question two is: Can 2 owners have joint access to a bank account from 2 different states? Is there any added complexity to having a bank account for this business and credit line split between two people and two states?

    I'm in California and ran a company with offices in five states with my business partner working out of our Florida location so I know the issues you are thinking through. Here's what we did regarding your two questions:

    1) In our case we incorporated in FL but just as easily could have incorporated in Ca, or anywhere else for that matter, just make sure you register to do business as a "foreign corp" in whatever state you are working e.g. in addition to being incorporated in Fl we had to register with the sec of state in CA because we had a physical location here

    2) Running a company with employees/locations in numerous states isn't easy but definitely doable if you do as much as can on-line. For example we used quickbooks on-line for all our accounting needs, the program is accessible regardless of where you are located so my associate in Fl could enter bills/payments etc and my accountant in Ca could log to make whatever adjustments she needed to make and I would log on to go over AR etc. The only downside is that everyone given access to the program has access to all banking records, which you may not want employees to see.
